Sustainable management framework
The highest governing body of Lisheng Energy is the Board of Directors, with the Chairman representing the company externally and serving as its ultimate responsible person. To ensure the implementation of sustainable development goals and policies and to strengthen the management functions of the Board of Directors, in addition to the Audit Committee and the Remuneration Committee, the Company established a Corporate Governance and Sustainable Development Committee on December 12, 2024, and appointed a senior manager as its Chief Sustainability Officer to assist the Board of Directors in fulfilling its responsibilities. To promote and supervise sustainable governance, a Sustainable Development Task Force has also been established to ensure that implementation work is carried out in all departments.
Corporate Governance and Sustainability Committee
To implement its corporate governance, corporate social responsibility, and environmental protection goals, the Company has established a Corporate Governance and Sustainability Committee under the Board of Directors to supervise and promote the Company's sustainable operations. The Committee shall report to the Board of Directors at least once a year on the progress and implementation of its sustainability strategy. The main responsibilities of the Chief Sustainability Officer appointed by the Committee include: corporate governance, regulatory compliance, information security, innovation and development (technological and institutional innovation), risk control (internal control and internal audit), crisis management, organizational improvement (external expansion and internal consolidation), human resources (recruitment, training and retention), succession planning, etc., and shall represent the Board of Directors in supervising and implementing the Company's sustainability goals and mission.
Sustainable Development Task Force
To implement various sustainability policies across all departments of the company, Lisheng Energy has established "Corporate Governance," "Social Welfare," "Sustainability and Environment," and "Sustainability Information Disclosure" teams. The Chief Sustainability Officer leads the sustainable development project team members (composed across departments) to be responsible for the implementation of sustainable development policies. Their division of responsibilities is explained below.
